These Terms of Service (“Terms”) govern your access to and use of this Site and related content, tools, pages, and services (collectively, the “Services”).

1) Acceptance of Terms

By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2) Service Nature and No Professional Advice

The Services are informational and operational in nature. They do not constitute legal, financial, accounting, tax, security, medical, compliance, or other professional advice.

You are solely responsible for your decisions, risk management, and legal compliance. Consult qualified professionals for high-stakes decisions.

3) Product-Specific Terms Control

ESUS LLC builds and operates multiple apps, websites, and products. Any product may have its own terms and privacy policy. Those product-specific terms control for that product and are separate from these Site-level Terms.

4) Eligibility and User Responsibilities

You must use the Services in compliance with applicable law.
You are responsible for your actions and any information you submit.
You must not submit content you do not have the right to use.
You should avoid submitting sensitive or confidential data unless explicitly requested.

5) Prohibited Uses

You agree not to:

Use the Services for unlawful, fraudulent, or deceptive purposes.
Interfere with security, infrastructure, or service availability.
Bypass controls, rate limits, or access restrictions.
Scrape or bulk-harvest content without written authorization.
Upload malware, exploit code, or harmful automated traffic.
Infringe privacy, copyright, trademark, or other third-party rights.

We may suspend or terminate access at our discretion for violations.

6) Third-Party Services and Links

Services may link to or rely on third-party providers. We do not control third-party content, availability, pricing, security, terms, or data practices.

Your use of third-party services is at your own risk and subject to those third-party terms/policies.

7) Intellectual Property

The Services, including design, text, and software content (excluding third-party materials), are owned by ESUS LLC or its licensors and protected by applicable intellectual property laws.

Third-party names and marks remain property of their owners. Reference use does not imply affiliation or endorsement unless explicitly stated.

8) Availability, Modifications, and Termination

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also update these Terms by publishing a revised version with a new “Last Updated” date.

9) Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR CONTINUOUS AVAILABILITY.

10) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESUS LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST REVENUE, PROFITS, DATA, BUSINESS, OR GOODWILL.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) USD $50, OR (B) FEES YOU PAID TO ESUS LLC FOR THE RELEVANT SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.

11) Indemnification

You agree to defend, indemnify, and hold harmless ESUS LLC and its owners, officers, employees, contractors, and affiliates from claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your submissions, or your violation of these Terms or applicable law.

12) Time Limit to Bring Claims

To the maximum extent permitted by law, any claim related to the Services or these Terms must be brought within one (1) year of the event giving rise to the claim, or it is permanently barred.

13) Mandatory Pre-Litigation Notice

Before filing any legal action, you must email web@esus.ai with subject “LEGAL NOTICE”, provide claim details, and allow 30 days for informal resolution.

14) Arbitration and Class Action Waiver

Any unresolved dispute shall be resolved by binding individual arbitration, except where prohibited by law or where small-claims court jurisdiction applies. Class actions, class arbitrations, consolidated actions, and representative actions are waived.

15) Governing Law and Venue

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-laws principles. If arbitration does not apply, exclusive venue is in Bernalillo County, New Mexico.

16) Severability and No Waiver

If any provision is invalid or unenforceable, the remaining provisions continue in effect. Failure to enforce any provision is not a waiver of that provision.

17) Entire Agreement

These Terms and the Privacy Policy constitute the complete agreement regarding your use of this Site, replacing prior discussions or understandings on this subject.
